Contractual terms of the Smart Control additional service

Summary of terms of contract

  • The contract is valid until further notice.
  • Helen’s partner is responsible for the operation of the smart control application and smart control service as well as associated customer service.

1. CONTRACTING PARTY TO THE SERVICE AND SERVICE PROVIDER

The Customer has selected Smart Control as an additional service agreement for the electricity contract (hereinafter referred to as the “Contract”). Smart control (hereinafter referred to as the “Service”) is an additional service offered by Helen Ltd (hereinafter referred to as “Helen”) that aims to control the use of the Customer’s electrical devices connected to the Service at times when the load on the electricity network and/or the price of electricity is lowest.

The party responsible for the technical implementation of the Service is Synergi Solutions Ltd (Business ID: 3306817-5, hereinafter referred to as “Synergi”). If you have any questions about the Service, we recommend that you primarily contact Synergi’s customer service.

2. VALIDITY AND TERMINATION OF THE CONTRACT

The Service is valid until further notice. At the end of the Customer's electricity contract, the Smart Control Contract shall also expire. In addition, the Customer and Helen have the right to terminate the Smart Control Contract with a 14-day period of notice during the validity of the electricity contract.  The Service does not replace the actual electricity contract between Helen Ltd and the Customer.

3. SERVICE DEPLOYMENT AND TECHNICAL REQUIREMENTS

The Customer must download and install the Synergi application, register in the Synergi application and accept the terms of service for the Synergi application in order to deploy the Service. The Customer can use the Service by downloading the application from the application store on the Customer’s phone.

The use of the Service requires the Customer to have compatible devices that enable smart control and the necessary data communication connections.

4. PRICE OF THE ADDITIONAL SERVICE AND APPLICATION OF DATA IN INVOICING

The monthly fee for the Smart Control additional service (€/month) in force at the time is invoiced in connection with the electricity bill.

The effects of changes in taxes, public levies and other comparable charges on the price of the Service shall be taken into account immediately from their date of entry into force.

5. SERVICE PROVIDER’S RESPONSIBILITY

The Service is provided to the Customer on an "as is" basis. Synergi is responsible for the technical functionality of the Service, the connection of devices and the control of consumption as well as customer support as agreed in the terms of service between the Customer and Synergi. Helen is not liable for any technical faults or disruptions caused in the Service.

6. AMENDMENTS TO TERMS OF CONTRACT AND PRICES

The price and contractual terms of the Service are valid until further notice. Helen has the right to amend the terms and conditions and prices of the Contract by notifying the Customer of them in a permanent manner (such as by email) one (1) month before the change takes effect. Helen shall send the Customer a notification of how and from which date the prices or other contractual terms will change and the reason for the change. The notification is sent to the service channel agreed with the Customer. If the grounds for the change are other than a change in legislation or a decision of an authority, Helen must inform the Customer whether the Customer has the right to terminate the Contract. The notification can be combined with the notification of changes to the electricity contract.

7. PROCESSING OF PERSONAL DATA AND DATA PROTECTION

Helen and Synergi act as independent controllers when processing the Customer’s personal data. Data required for the implementation of the service, such as the Customer’s name, email address, delivery site address, device information and/or the impact of smart control on consumption, may be transferred between Helen and Synergi.
